3. Your Responsibilities

You agree to:

Provide content and approvals on time.
Ensure any materials you supply do not infringe copyrights, break laws, or violate third-party rights.

4. Fees & Payment

Fees will be detailed in your proposal or invoice.
Typically, we require a 30–50% deposit upfront; the remainder is billed per milestone or monthly.
Late payments may incur interest (usually 1.5% monthly or the maximum legal rate). We reserve the right to pause services until full payment is received.

5. Intellectual Property

We retain ownership of our proprietary tools, templates, and methodologies.
Once full payment has been made, you’re granted a non‑exclusive license to use the delivered materials for your business.

6. Confidentiality

We both agree to keep each other’s non-public information—like business strategies or unpublished data—strictly confidential.

7. Warranties & Disclaimers

We use industry-standard best practices, but do not guarantee specific rankings, traffic levels, or results.
Our Services are provided “as is,” without warranties of any kind.

8. Limitation of Liability

Our liability is capped at the total fees you paid for the relevant service. Under no circumstances are we liable for indirect or consequential damages.

9. Indemnification

You agree to indemnify and hold us harmless from any claims or losses arising from:

Content you provide that breaches third-party rights, or
Your breach of these Terms.

10. Term & Termination

These Terms take effect once you accept our proposal and continue until the agreed services are completed or terminated.
Either party may terminate with written notice (typically 15–30 days). Upon termination, you must pay for all work completed to date.

11. Dispute Resolution & Governing Law

We’ll first try to resolve disputes through mediation. If mediation fails, disputes may be escalated to arbitration or court.
These Terms are governed by the laws of Bangladesh, and any legal action must be filed in Dhaka courts.

12. Amendments

We may update these Terms occasionally. We’ll notify you of changes, and continued use of our Site or services will serve as acceptance.

13. Force Majeure

We are not responsible for delays or failures caused by events outside our control, such as natural disasters, acts of war, or technical outages.

14. Entire Agreement

These Terms and any referenced proposals or contracts form the complete agreement between you and us, superseding all prior agreements.
